By using this website you agree to these terms. Content on this site is provided for general information about our services and does not constitute a binding offer. All text, graphics and code on the site belong to Smartech Solutions LLC unless stated otherwise and may not be reproduced without permission.

Services and agreements

Software development, hosting and support services are provided under a separate written proposal or master services agreement that sets out scope, price, timeline, payment terms and intellectual property ownership. Where that agreement conflicts with these website terms, the agreement prevails.

Payment

Unless otherwise agreed in writing, project work is invoiced in milestones and support plans are billed monthly in advance. Invoices are due within 14 days. We accept bank transfer and major credit and debit cards.

Intellectual property

On full payment, clients own the custom source code and deliverables created for them, excluding third-party and open-source components which remain subject to their own licences, and excluding Smartech's pre-existing tools and know-how, for which the client receives a perpetual licence.

Warranties and liability

We warrant that services will be performed in a professional manner. Except as stated in a signed agreement, the website and its content are provided "as is" without warranties of any kind. To the fullest extent permitted by law, Smartech Solutions LLC is not liable for indirect, incidental or consequential damages arising from use of this website, and our total liability in connection with any service is limited to the fees paid for that service.

Governing law

These terms are governed by the laws of the State of California. Any dispute will be resolved in the state or federal courts located in Sacramento County, California.
